AhanaAi Company — Vendor Agreement

Version 2026-09-06-v1

Draft vendor agreement for AhanaAi Company / LuckyWe.dance. This is not a substitute for review by a lawyer and is not legal advice.

1. Parties and portal role

AhanaAi Company / LuckyWe.dance is the public identity of this portal: LuckyWe.dance is the face, and AhanaAi Company operates it. The legal entity is Ahana AI, Inc. (AhanaAi Company). By accepting this Agreement, you (the “Vendor”) confirm that you are the event organizer or producer (or are authorized to bind that organizer). AhanaAi Company operates LuckyWe.dance as a third-party advertising and payment portal. AhanaAi Company is not the event, not event staff, security, or venue management, and not a sponsor, unless a specific listing expressly says otherwise.

2. Vendor pricing responsibility

Vendor alone sets admission amounts, ticket tiers, complimentary admissions, door policies, and event-level refund rules (subject to the portal Disclaimer and Terms). AhanaAi Company does not set event ticket prices. The only platform amounts AhanaAi Company adds are the disclosed $1.00 per-ticket service fee and any other fee the portal expressly discloses before purchase. TBA or missing prices are not quotes and do not open ticket Checkout.

3. Payment collection

AhanaAi Company collects ticket and optional tip payments through Stripe on behalf of the portal. Funds are held and ledgered pending this signed Agreement and Vendor distribution requests. The $1.00 per-ticket service fee is platform revenue for AhanaAi Company and is not Vendor balance. Ticket Checkout stays off until this Agreement is signed and the event is linked to the Vendor’s account. Unsigned or unlinked events may still appear on the public calendar as listed or TBA.

4. Check-in and verification

AhanaAi Company may verify each participant using check-in, QR or ticket scan, location-aware validation, and a still entry snapshot (not video) with AhanaAi Company proprietary tools. Vendor must cooperate, including door-staff training and reasonable device access at the event, and must notify attendees of location and photo capture when required by law. Check-in photos and coordinates are kept until a retention date (typically the event end plus 30 days) and are then eligible for deletion. Verification is for fraud and complimentary-admission control only. It does not make AhanaAi Company security, crowd control, or on-site management.

5. Internet and data-plan limitations

Portal features (scan, location check, live sync, and payouts UI) depend on internet service, mobile data, GPS accuracy, device battery, and third-party networks. AhanaAi Company is not liable for outages, dead zones, carrier limits, failed scans, or delayed sync caused by connectivity or device limits. Vendor must keep a manual backup check-in plan.

6. Hold harmless and limitation of liability

To the maximum extent permitted by law, Vendor releases, defends, and holds harmless Ahana AI, Inc. / AhanaAi Company, its officers, agents, and affiliates from claims, damages, losses, and expenses arising out of or related to the event, venue, attendees, injuries, intellectual property, permits, alcohol, discrimination claims, or refund disputes — except to the extent caused by AhanaAi Company’s willful misconduct in processing payments. Except for fraud, willful misconduct, or liability that cannot be limited by law, each party’s aggregate liability under this Agreement is limited to the fees paid to AhanaAi Company in the twelve (12) months before the claim.

7. Vendor legal compliance

Vendor is solely responsible for permits, insurance, age limits, accessibility (including ADA where applicable), tax reporting on Vendor’s proceeds, alcohol and fire-code compliance, and attendee releases or waivers when those are required. AhanaAi Company does not assume those duties by listing the event or collecting payment.

8. Flyers and content license

Vendor grants AhanaAi Company a license to display event copy, pricing, flyers, and related media for portal promotion and operations. Vendor warrants that it owns or has rights to that content and that listings do not infringe third-party rights. Flyers may be stored as a URL or a download stub from ingest.

9. Distribution requests

Vendor may request distributions with percent or fixed splits after funds are collected. AhanaAi Company may take commercially reasonable time to review and process requests. Chargebacks, refunds, and the platform service fee may be netted before a distribution. Automatic Stripe Connect payouts are a later step; v1 keeps Checkout on the platform account and a ledger of amounts owed.

10. Term, termination, and surviving clauses

This Agreement starts when Vendor types a legal name, checks acceptance, and the portal records that signature (name, timestamp, and IP stub) for this version (2026-09-06-v1). Either party may terminate for convenience or for material breach. AhanaAi Company may unpublish listings that violate this Agreement, the Disclaimer, or the Terms. Sections on licenses already granted, payment netting, hold harmless, limitation of liability, and surviving compliance duties continue after termination. Questions: [email protected].
